Terms of Service

These Terms of Service ("Terms") are an agreement between you and Covenant Labs LLC ("Covenant Labs", "we", "us"), an Austin, Texas limited liability company. They govern your use of the mannacode.ai website, Manna Code accounts, installer and update downloads, and related online services (together, the "Services").
By creating an account or using the Services, you accept these Terms. If you do not agree, do not use the Services. The installed Manna Code desktop application is additionally governed by the End User License Agreement ("EULA") you accept during installation; if these Terms and the EULA conflict with respect to the installed software, the EULA controls.
Sections 6, 7, 9, 10, and 11 describe the risks you assume and the limits of Covenant Labs' responsibility. They are an essential basis of the bargain: we would not provide the Services without them.
1. Eligibility and accounts
The Services are offered from the United States and are not available to persons in the European Economic Area or the United Kingdom. By using the Services you represent that you are not located in, and will not use the Services from, those regions. The Services are not designed to meet the requirements of the GDPR or UK GDPR.
You must provide accurate information when creating an account and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. You must be at least 18 years old, or the age of majority where you live, to create an account.
2. Software downloads and license
Installers and software updates downloaded through the Services are licensed to you under the EULA, not sold. The EULA — presented and accepted during installation — governs your use of the desktop software, including its warranty disclaimers, assumption of risk, and liability limits, and is incorporated into these Terms by reference.
3. Acceptable use
You will use the Services only in compliance with applicable laws, including export control and sanctions laws. You may not: interfere with or disrupt the Services; attempt to access accounts, systems, or data you are not authorized to access; probe or test the vulnerability of the Services without written permission; resell or redistribute the Services or downloads; or use the Services to violate the rights of others.
4. Subscriptions and purchases
Some features may require a paid subscription or other purchase. Pricing, billing terms, and any additional terms will be presented before you buy, and may be updated from time to time. Except where required by law or expressly stated at purchase, fees are non-refundable.
5. Third-party AI providers; your keys; your spend
Manna Code can connect to third-party AI model providers and other services, including providers you configure with your own API keys or subscriptions. Your use of those services is governed by the providers' own terms and pricing. You are solely responsible for the keys and credentials you supply, for all charges billed by providers in connection with your use — including usage initiated by automated or autonomous operation — and for the content you submit to them. Covenant Labs is not a party to your agreements with providers and will not reimburse or be responsible for amounts you incur with them.
6. AI software; assumption of risk
Manna Code is an AI-powered agent that can, at your direction and under settings you control, execute commands, create and delete files, install and run software, control a web browser, automate your desktop, and take multi-step autonomous actions. AI systems are probabilistic: the software may misinterpret instructions, produce incorrect output, or act on your systems, accounts, and data in unintended and irreversible ways.
You authorize the actions the software takes on your devices and accounts and assume all risk arising from them, including data loss, damage to systems, and financial consequences. You are responsible for choosing permission settings appropriate to your risk tolerance, supervising the software's operation, and maintaining backups. AI output is not professional advice of any kind, and you are responsible for reviewing it before relying on it or allowing it to act.
7. Disclaimer of warranties
The Services and all software are provided "as is" and "as available", with all faults and without warranty of any kind. To the maximum extent permitted by law, Covenant Labs disclaims all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, and accuracy, and does not warrant that the Services will be uninterrupted, timely, secure, or error-free.
8. Intellectual property
Covenant Labs and its licensors retain all right, title, and interest in and to the Services and software, including all intellectual property rights. Open-source components are licensed under their own terms. If you send us feedback, you grant Covenant Labs a perpetual, irrevocable, royalty-free license to use it without restriction or obligation.
9. Limitation of liability
To the maximum extent permitted by law, Covenant Labs and its members, managers, employees, contractors, agents, licensors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, business, or goodwill, business interruption, cost of substitute goods or services, third-party provider charges, financial losses of any kind, or security incidents, arising out of or related to these Terms, the Services, or the software, under any theory of liability, even if advised of the possibility of such damages.
Covenant Labs' total aggregate liability will not exceed the amount you paid Covenant Labs for the Services in the twelve (12) months before the event giving rise to the claim, or one hundred U.S. dollars (USD $100), whichever is greater. These limits apply even if a limited remedy fails of its essential purpose.
Some jurisdictions do not allow certain warranty disclaimers or damage limitations, so parts of Sections 7 and 9 may not apply to you; in that case they apply to the maximum extent permitted, and nothing in these Terms excludes liability that cannot be excluded under applicable law.
10. Indemnification
You will defend, indemnify, and hold harmless Covenant Labs and its members, managers, employees, contractors, agents, licensors, and suppliers from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or software, content you process or submit, your violation of these Terms or applicable law, or your violation of any third party's rights or of the terms of any third-party service you use with Manna Code.
11. Disputes; governing law; waivers
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in Travis County, Texas, and each party consents to personal jurisdiction there. To the maximum extent permitted by law, each party waives any right to a jury trial and any right to participate in a class, collective, or representative action; claims may be brought only in an individual capacity. Any claim must be filed within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.
12. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or where required to protect the Services, other users, or Covenant Labs. Provisions that by their nature should survive termination do so, including Sections 5 through 11.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated date; continued use of the Services after changes take effect constitutes acceptance. The EULA version accompanying each software release governs that installation.
